These Terms and Conditions (“Terms”) govern the use of services provided by innovativeX PTY LTD to our clients. By engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please refrain from using our services.
1. Service Engagement
a. Scope of Services: The scope of services will be defined in the agreement or contract signed between InnovativeX and the client. The client is responsible for reviewing and understanding the scope of services before engaging us.
b. Payment and Fees: The client agrees to pay the fees as specified in the agreement. Any additional services requested beyond the scope of the agreement may result in additional charges.
c. Termination: Both the client and InnovativeX reserve the right to terminate the service engagement under the conditions specified in the agreement.
2. Confidentiality
InnovativeX and the client acknowledge the need to maintain confidentiality regarding any sensitive information shared during the service engagement. Both parties agree to protect the confidentiality of such information and not to disclose it to third parties without prior written consent.
3. Intellectual Property
InnovativeX retains all intellectual property rights associated with the services provided, including but not limited to software, content, and methodologies. The client is or can be granted a full or limited, non-exclusive, and non-transferable license to use such intellectual property for the purpose outlined in the agreement.
4. Data Privacy
InnovativeX will handle client data in compliance with our Privacy Policy and relevant data protection laws. The client agrees to provide any necessary consents for the collection and processing of data as required by law.
5. Liability
InnovativeX’s liability for any claims arising during the warranty period from the service engagement is limited to the fees paid by the client. We are not responsible for any indirect, consequential, or punitive damages.
6. Changes to Terms and Conditions
We may modify or update these Terms at our discretion. The client will be notified of any material changes, and the updated Terms will be effective upon posting.
7. Governing Law and Jurisdiction
These Terms are governed by and interpreted in accordance with the laws of Australia. Any disputes arising from or related to these Terms will be subject to the exclusive jurisdiction of the courts in Australia.
